Houston-based team led by Habeeb "Hobbs" Gnaim represents the pioneer in thermal resistivity testing as data center growth and demand for underground power infrastructure accelerate
HOUSTON — Sept. 22, 2026 — Chamberlain Hrdlicka is pleased to announce its representation of Geotherm USA, LLC in its acquisition by Universal Engineering Sciences (UES), a national engineering and consulting platform.
Founded in 1978, Geotherm is widely regarded as the industry standard in the thermal resistivity testing for underground and submarine power cable projects—a capability growing more vital as data center expansion accelerates demand for underground power infrastructure. The company will retain its leadership and identity as it joins UES's National Specialty Services, the platform's group of specialized businesses serving clients nationwide, positioning the team to meet accelerating demand alongside a national partner.
Chamberlain Hrdlicka advised Geotherm from the letter of intent through closing and post-closing matters, drawing on a multidisciplinary team across the firm's corporate and M&A, tax, employee benefits, labor and employment, and intellectual property practices. The deal was led by Houston-based shareholder Habeeb "Hobbs" Gnaim, Practice Group Leader of the firm's Tax Planning & Business Services Groups, with significant contributions from Umair Karowadia and Marianne Standley. Additional contributors to the transaction included Aly Dossa, Kellen R. Scott, Joshua A. Sutin, Marcus Burnside, William Cowan, Jeffrey M. Della Rocco, and Alex Scofield.
“Geotherm has built an exceptional business and a strong reputation over decades, and this transaction provides a compelling opportunity to build on that foundation,” said Gnaim. “We were pleased to work alongside Geotherm throughout the process and help position the company for continued growth as part of UES.”
Chamberlain Hrdlicka's representation of Geotherm continues the firm's track record of guiding clients through significant M&A transactions across a range of industries, with a focus on aligning business goals with legal and tax precision to deliver results. The firm's M&A practice is experiencing continued momentum, with a growing portfolio of transactions earning recognition from leading organizations in the dealmaking community, including The M&A Advisor, Association for Corporate Growth, Global M&A Atlas, Chambers and Partners, and more. These achievements underscore the strength and depth of Chamberlain Hrdlicka's multidisciplinary M&A team and its ability to deliver strategic, sophisticated counsel on transactions that shape the future of businesses across industries.
